announces today that it has signed a purchase agreement
for the acquisition of 95% of the share capital of
a cash payment of
(approximately USD 35.6 million).
The purchase agreement provides
for the acquisition of the remaining balance of shares
starting two years from now
at a price conditional on the company's business.
The transaction is being financed using bank debt
and will be completed within the next few weeks.
